Chapter Three: Officers of the Board
§2-03.01 - Officers of the Board and Their Election
The Officers of the Board shall be a Chair and two Vice Chairs and may include a Chair-Elect. These Officers shall be elected from among the members of the Board by a majority vote of the Entire Board at the annual meeting of the Board.
§2-03.02 Terms of Office
The term of office of the Chair shall be not more than three (3) years in duration or until his/her successor is qualified and duly elected. The Chair may be re-elected for an additional term of up to three (3) years. The terms of office of the Vice Chairs shall not be more than four (4) years in duration or until his/her successor is qualified and duly elected. The Vice Chairs may be re-elected for an additional term of up to four (4) years. In extenuating circumstances, the Trustees may agree to extend the terms of office for the Chair and Vice Chairs beyond two terms. The term of office of a Chair-Elect shall be not more than one year and may not be renewed.
§2-03.03 Removal of Officers
Any Officer may be removed from his/her office with or without cause by the affirmative vote of a majority of the Entire Board at a special meeting called for that purpose. Any person who is removed as an Officer shall remain as a Trustee unless otherwise removed as a Trustee pursuant to these Bylaws.
§2-03.04 - Chair
The Chair shall preside over all meetings of the Board and the Executive Committee at which he/she is present and shall serve as the spokesperson for the Board. The Chair shall not be an employee of the University. The Chair shall be an ex officio member of all the standing Committees of the Board, with the exception of the Audit and Risk Management Committee, with the right to vote. The Chair is authorized to sign employment agreements for the President and shall act as the liaison officer between the Board and the President.
§2-03.05 - Chair-Elect
The Chair-Elect may be elected up to one year before the end of the then current Chair's final term at which point the Chair-Elect shall become the Chair to serve up to a three (3) year term in accordance with the other sections of this Chapter.
§2-03.06 - Vice Chairs
In the absence or the incapacity of the Chair, the Vice Chairs shall exercise the duties of the Chair.
