Caroline Gentile

Caroline M. Gentile is an Associate Professor of Law at Fordham University School of Law where she played an integral role in the development of its Corporate Law Center, serving as the Center’s first Assistant Director and then, for two years, as the Center’s Director.  Professor Gentile teaches Corporations (Business Associations), Corporate Finance, Mergers and Acquisitions, and Securities Regulation.  Her research interests lie in the integration of economic analysis, principally theories of the firm and finance theory, into the legal analysis of the organization of business enterprises and the operation of the capital markets (including the market for sovereign bonds). Her work has been published in the Duke Law Journal, the Emory Law Journal, and the Journal of Law & Contemporary Problems.

Professor Gentile received her undergraduate degrees, summa cum laude, in Economics and Political Science from The Ohio State University.  She studied in the Law and Economics Program at Yale University, and she received her law degree from the Yale Law School, where she was Symposium Editor of The Yale Law Journal and Editor of the Yale Journal on Regulation.  Following her studies, Professor Gentile was an associate in the Corporate Department of Cravath, Swaine & Moore LLP, specializing in the areas of debt financing, mergers and acquisitions, and securities offerings.  From 2000 – 2002, she served as a Lecturer in Law at the UCLA School of Law, teaching both traditional business law courses and a practicum in Corporate Financing Transactions.  For the academic year 2010 – 2011, Professor Gentile served as a Visiting Associate Professor of Law and the Ruby R. Vale Research Scholar at the Wilmington Campus of the Widener University School of Law. She currently serves as a General Editor of the Capital Markets Law Journal.
